Terms of Service.

These Terms of Service (“Terms”) govern your use of the website, products, and services offered by Thraxel, LLC (“Thraxel,” “we,” “us,” or “our”). By using our site, requesting a quote, or purchasing services, you agree to these Terms. If you do not agree, do not use our site or services.

1. Services

Thraxel provides permanent outdoor RGBWW lighting installations, seasonal/holiday lighting installs and take-downs, integrated AI services for small businesses, and the optional RandyHome voice and automation subscription. Specific deliverables, scope, pricing, and timelines for any project are set out in a written Service Agreement, Statement of Work, or order form between you and Thraxel.

2. Quotes & Estimates

Quotes are valid for 30 days unless stated otherwise. Quotes are estimates based on information you provide and may be revised after a site walk or upon discovery of conditions not visible at quoting (e.g., unusual electrical work, hidden structural issues). Any revision will be communicated in writing before work continues.

3. Payment

  • A deposit is typically required to schedule installation. Final payment is due upon project completion unless otherwise agreed in writing.
  • Late balances accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower.
  • Returned payments incur a $35 fee plus any bank charges.
  • Disputed charges must be raised in writing within 30 days of the invoice date.

RandyHome Subscription

RandyHome is sold separately, is optional, and is billed annually upfront at $9.99/month equivalent (i.e., $119.88/year). The subscription auto-renews each year on the anniversary date unless cancelled at least 30 days before renewal. Cancellation stops future renewals; partial-year refunds are not provided except as required by law.

4. Installation, Site Access & Customer Responsibilities

  • You are responsible for providing safe, lawful access to the install site and accurate information about property lines, easements, and any HOA or municipal restrictions.
  • You represent that you own the property or have written authorization from the owner to commission the work.
  • You are responsible for adequate, code-compliant electrical service at the install location. Additional electrical work, if needed, will be quoted separately or coordinated with a licensed electrician.
  • You will cooperate with reasonable scheduling needs (weather windows, daylight, lift-equipment access).

5. Warranty

Thraxel warrants its workmanship and the fixtures we install for the period stated in your Service Agreement (typically 5 years on hardware and 2 years on workmanship from the install completion date). Warranty does not cover damage caused by:

  • Acts of God, severe weather events outside specified IP ratings, fire, flood, lightning strikes, or vandalism.
  • Modifications, additions, or repairs by anyone other than Thraxel or its authorized contractors.
  • Misuse, abuse, or operation outside the documented use cases.
  • Loss of internet, Wi-Fi, or third-party platform changes (Alexa, Google, HomeKit, Control4) outside our control.

Warranty claims: email hq@thraxel.com with your install address and a description of the issue. We’ll respond within 3 business days.

6. SMS & Email Communications

Plain-English summary: By giving us your phone or email and opting in, you agree we can send you transactional and (if you opted in) marketing messages. You can stop SMS marketing any time by replying STOP, or stop emails by clicking unsubscribe. Full details in our Privacy Policy.

By submitting your phone number through our website forms or otherwise providing express written consent, you agree to receive recurring text (SMS/MMS) messages from Thraxel, LLC, which may include transactional messages (quote, scheduling, install, billing, warranty) and — if you’ve opted in to marketing — promotional messages about seasonal offers (Christmas, Halloween, Valentine’s, St. Patrick’s Day, 4th of July, and similar), new services (including RandyHome), and customer events. Message frequency varies. Message and data rates may apply. Reply STOP to opt out of marketing texts; reply HELP for help. Carriers are not liable for delayed or undelivered messages. Thraxel does not sell, rent, or share your mobile number or SMS opt-in data with third parties for their marketing.

Email communications follow the same principle: you can opt out of marketing emails any time via the unsubscribe link or by emailing hq@thraxel.com. Opting out of marketing does not affect transactional emails required to service your project. Full details: Privacy Policy.

7. Intellectual Property

The Thraxel name, logo, wordmark, RandyHome, RandyAI, and all related branding, software, designs, photos, and content on this site are the property of Thraxel, LLC and protected by copyright, trademark, and other laws. You may not copy, distribute, or use them without written permission, except for ordinary fair use (e.g., quoting a customer review with attribution).

8. Customer Photos & Testimonials

If you allow us to photograph or video your installation, you grant Thraxel a non-exclusive, royalty-free, worldwide license to use those photos and videos in marketing, social media, our website, and case studies. We will not publicly disclose your address without separate written permission. You may revoke this license at any time by emailing hq@thraxel.com; we will remove photos from materials we control going forward.

9. Disclaimers

Except as expressly stated in your Service Agreement and the Warranty section above, our services and website are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation of our website, RandyHome, or any third-party platform we integrate with.

10. Limitation of Liability

To the fullest extent permitted by law, Thraxel’s aggregate liability for any claim arising out of or related to these Terms or our services is limited to the amount you paid Thraxel in the twelve (12) months preceding the claim. Thraxel is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility.

11. Indemnification

You agree to indemnify and hold harmless Thraxel, its owners, employees, contractors, and affiliates from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of (a) your breach of these Terms, (b) your misrepresentation of property ownership or authorization, or (c) your misuse of our products or services.

12. Cancellation & Refunds

  • Quotes & deposits: Deposits are refundable up to 14 days before scheduled install start, less a $250 design/admin fee if design work has been completed.
  • After install begins: Cancellation is treated as project completion at the percentage of work completed, plus all materials cost.
  • RandyHome: See Section 3 for renewal cancellation terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. Any dispute arising under these Terms shall first be addressed by good-faith negotiation. If unresolved within 60 days, the parties agree to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Pennsylvania. Each party bears its own costs except as the arbitrator may award. Either party may seek injunctive relief in court for IP, confidentiality, or unpaid-balance matters.

14. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated by email to active customers or a prominent notice on the website. Continued use of our services after changes take effect constitutes acceptance.
